These Terms of Service ("Terms") govern your access to and use of the websites, platform, and related services provided by Docvik AI Tech Solutions Pvt Ltd("Docvik", "we", "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you are agreeing on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. Definitions
- "Service" means the Docvik platform, including websites at docvik.ai and app.docvik.ai, APIs, integrations, and any related software or documentation.
- "Customer" means the entity that has subscribed to the Service.
- "Customer Content" means documents, data, and other materials uploaded, forwarded, or transmitted to the Service by or on behalf of the Customer.
- "Order" means an order form, online checkout, or written agreement between Docvik and Customer setting out subscription terms.
2. Accounts
To use the Service, you must create an account and provide accurate information. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at security@docvik.ai of any suspected unauthorised access.
3. Subscription & fees
Access to the Service is provided under a subscription set out in an Order. Unless the Order states otherwise:
- Fees are invoiced in advance and payable within 15 days.
- All amounts are exclusive of taxes, including GST. Customer is responsible for applicable taxes.
- Subscriptions renew automatically for successive terms of the same length unless either party gives notice of non-renewal at least 30 days before the end of the then-current term.
- We may change fees with at least 60 days' written notice effective on the next renewal.
4. Customer content
Customer retains all rights, title, and interest in Customer Content. Customer grants Docvik a limited, non-exclusive licence to host, process, and transmit Customer Content solely to provide and improve the Service for that Customer.
We do not use Customer Content to train general-purpose AI models, and we do not sell or share Customer Content with third parties except as described in our Privacy Policy.
Customer is responsible for ensuring that Customer Content does not infringe any third party's rights and that Customer has the right to upload it to the Service.
5. Acceptable use
You will not, and will not permit any user to:
- Use the Service in violation of applicable law or third-party rights.
- Upload or transmit content that is illegal, fraudulent, defamatory, or that infringes intellectual property rights.
- Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service.
- Use the Service to build a competing product, or to benchmark performance for public release without our prior written consent.
- Probe, scan, or test the vulnerability of the Service or breach any security or authentication measure.
- Send unsolicited bulk email or otherwise abuse Service messaging features.
6. Confidentiality
Each party may receive non-public business or technical information of the other ("Confidential Information"). The receiving party will use the Confidential Information solely to perform under these Terms and will protect it with the same care it uses for its own confidential information (no less than reasonable care). Customer Content is Customer's Confidential Information.
7. Intellectual property
The Service, including all software, models, and documentation, is owned by Docvik and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. Customer feedback may be used by Docvik without restriction; no payment is owed for such feedback.
8. Service availability
We aim to provide the Service with high availability and may publish a service-level commitment in your Order. We may perform scheduled maintenance and will provide reasonable notice where practical.
9. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Docvik disclaims all warranties, express or implied, including merchant- ability, fitness for a particular purpose, and non-infringement. AI-generated extraction results are provided for review by your authorised users and may contain errors; Customer is responsible for final verification and downstream business decisions.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, even if advised of the possibility. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by Customer in the twelve (12) months preceding the event giving rise to the liability.
11. Indemnification
Customer will defend and indemnify Docvik against third-party claims arising from Customer Content or Customer's use of the Service in violation of these Terms. Docvik will defend Customer against third-party claims alleging that the Service, as provided by us and used as permitted, infringes such third party's intellectual property rights, and will pay damages finally awarded by a court of competent jurisdiction, subject to the limitations in Section 10.
12. Term & termination
These Terms remain in effect while you have an account or active subscription. Either party may terminate for material breach if not cured within 30 days of written notice. On termination, your right to access the Service ends; Customer Content will be deleted as described in our Privacy Policy.
Sections that by their nature should survive termination (including Sections 4, 6, 7, 9, 10, 11, and 14) will survive.
13. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes will be notified to active customers by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
14. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to either party's right to seek injunctive relief in any competent jurisdiction.
